These Terms and Conditions (Terms) govern your access to and use of the EduSafe platform, websites, and services (the Services). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. About EduSafe

EduSafe is a digital compliance management platform developed and operated by Holland Group, with its registered office at 621 Jordanstown Drive, Greenogue Business Park, Rathcoole, Co. Dublin, D24P622, Ireland.

2. Services Provided

EduSafe provides an all-in-one digital engine for health and safety compliance, including:

  • Digital Onboarding: Management of inductions and employee certifications
  • Contractor Management: Centralised records for multi-site contractor compliance
  • eLearning: Delivery of accredited, multilingual safety training
  • Risk & Incident Management: Digital workflows for hazard identification and risk scoring
  • Action Log: Tracking of corrective and preventive actions (CAPA)
  • Compliance Dashboards: Real-time analytics and auditor-ready reporting

3. Account Registration and Security

To access the Services, you must register for a Customer Account, typically initiated through a Book a Demo or Free Trial request.

  • Free Trial: Access is provided on a trial basis for a period of 30 days, limited to 5 trial seats, from the date of account activation. Upon the expiry of this period, access to the Services will be suspended unless a paid subscription is activated. Following trial expiry, data will be retained for 30 days, after which it will be permanently deleted unless a paid subscription is activated.
  • Credentials: You are responsible for maintaining the confidentiality of your login credentials.
  • Account Activity: You are responsible for all activities that occur through your account and any associated End User accounts.
  • Authorised Use: You must ensure that only authorised personnel have access to the platform.
  • Accuracy: You must provide accurate and up-to-date information at all times.

4. User Responsibilities and Acceptable Use

You agree to use the Services in compliance with all applicable Irish and EU laws, including HSA (Health and Safety Authority) regulations. You must not:

  • Sublicense, sell, or lease access to the Services to any third party without express written consent.
  • Upload any data that is unlawful, defamatory, or contains malicious code.
  • Attempt to bypass any security features or reverse-engineer the platform.
  • Use the Services to store information that violates third-party intellectual property or privacy rights.

Ultimate Responsibility: You acknowledge that while the Services provide tools to assist with compliance, the legal responsibility for workplace safety and adherence to statutory requirements remains solely with you. EduSafe is not a substitute for professional safety advice or your legal obligations under Irish law.

5. Data and Privacy

  • Your Data: You retain ownership of all data, documents, and content uploaded to the platform (Your Data). You grant EduSafe platform and EduSafe website a licence to host and process this data solely to provide the Services.
  • Data Protection: We process personal data in accordance with our Privacy Policy and GDPR. Where EduSafe processes personal data on your behalf, we act as a Data Processor, and you remain the Data Controller.
  • Data Breach: In our role as a Data Processor, we will notify you without undue delay upon confirming any personal data breach affecting your account.
  • Backups: While we maintain high-standard AWS-hosted resilience, you are responsible for maintaining your own independent backups of essential records.

6. Intellectual Property

All rights, title, and interest in the EduSafe platform, including software, templates, and training materials (excluding Your Data), remain the exclusive property of the Holland Group. You are granted a limited, non-exclusive right to use these materials for your internal business operations during your subscription term.

7. Limitation of Liability

To the maximum extent permitted by law, EduSafe and the Holland Group shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising out of your use of the Services. Except as required by law (such as in the case of death or personal injury caused by our negligence), our total liability for any claim shall be limited to the amount paid by you for the Services during the 12 months preceding the claim. We do not warrant uninterrupted or error-free operation of the platform. Maintenance will be scheduled during off-peak hours where practical to minimise disruption.

8. Modifications to Services

We reserve the right to update the functionality, user interface, and features of the platform through our ongoing mission to improve compliance management. Material changes that reduce functionality will be notified to you in advance.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Irish Courts.

10. Miscellaneous

  • General Provisions: Neither party is liable for failures caused by events beyond their reasonable control.
  • Severability: If any provision of these Terms is deemed invalid, the remaining terms remain fully enforceable.
  • Entire Agreement: These Terms and any signed Order Form constitute the entire agreement between the parties, superseding all prior discussions or marketing promises.
